1. Acceptance of Terms

REPlaybook AI, doing business as Bromwell ("Bromwell", "we", "us", "our"), operates the platform described in these Terms. Bromwell is a trade name of REPlaybook AI; the contracting party under these Terms is REPlaybook AI.

By accessing or using Bromwell, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the platform.

If you are using Bromwell on behalf of a real estate brokerage or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Service

Bromwell is a subscription-based software-as-a-service (SaaS) platform that provides AI-powered workflow automation, transaction management, team coordination, and communication tools designed for real estate brokerages.

3. Account Registration

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at [email protected] of any unauthorized access to or use of your account.
• Each account is for a single individual user. Accounts are non-transferable.

4. Subscription and Payment

• Bromwell is offered on a subscription basis with fees billed monthly or annually as agreed at the time of signup.
• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Refunds are at our sole discretion. We do not offer pro-rated refunds for unused portions of a billing period.
• We reserve the right to change our pricing with at least 30 days' advance notice to active subscribers.
• Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to use Bromwell to:

• Violate any applicable law, regulation, or third-party rights
• Attempt to reverse engineer, decompile, scrape, or extract proprietary systems or data
• Share your account credentials with unauthorized users
• Upload or transmit malicious code, viruses, or anything that interferes with the platform's operation
• Violate applicable real estate regulations, MLS rules, or your brokerage's licensing obligations
• Use AI-generated content from Bromwell without human review in contexts where professional judgment is required

6. Third-Party Integrations

Bromwell connects to third-party services including Gmail, SkySlope, Follow Up Boss, and others via OAuth and API integrations.

• You are solely responsible for your use of those third-party services and compliance with their respective terms of service.
• We are not responsible for the availability, accuracy, or changes to third-party APIs or services.
• MLS data accessed through Bromwell (including RMLS data) is subject to applicable MLS rules and your brokerage's data license agreements. You are responsible for ensuring your use of such data complies with those agreements.

7. AI Features

Bromwell uses Anthropic's Claude API to power workflow suggestions, automations, message drafting, and assistant features.

• AI-generated content is provided for informational and automation purposes only. It does not constitute legal, financial, real estate, or other professional advice.
• You are responsible for reviewing and approving all AI-generated content — including emails, workflow actions, and suggestions — before sending or acting on it.
• Bromwell's outbound queue requires human approval before any AI-generated message is sent. You must not bypass this approval process.

8. Data Ownership

• You retain full ownership of all transaction data, contacts, documents, and brokerage information you enter into Bromwell.
• By using Bromwell, you grant Bromwell a limited, non-exclusive license to process your data solely to provide the service to you.
• Upon cancellation or termination, you may export your data within 90 days. After this period, your data will be deleted from our systems.

9. Intellectual Property

Bromwell, including its features, design, user interface, underlying technology, and all content created by Bromwell, is the exclusive property of Bromwell and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or sublicense any part of the platform or its underlying technology without express written permission from Bromwell.

10. Confidentiality

Bromwell treats your brokerage data as confidential. We will not disclose your data to competitors or use it to benefit other customers. Our team members with access to your data are bound by confidentiality obligations.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.

WE ARE NOT RESPONSIBLE FOR ANY DECISIONS MADE BY YOU OR YOUR TEAM BASED ON AI-GENERATED SUGGESTIONS, WORKFLOW OUTPUTS, OR ANY OTHER CONTENT PRODUCED BY THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLAYBOOK AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO REPLAYBOOK AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

IN NO EVENT SHALL REPLAYBOOK AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bromwell and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) your brokerage's data or operations.

14. Termination

• Either party may terminate these Terms with 30 days' written notice.
• Bromwell may terminate your access immediately and without notice for: material breach of these Terms, non-payment of fees, illegal use of the platform, or activity that poses a security risk.
• Upon termination, your right to access the platform ceases immediately. Your data will be retained for 90 days and then permanently deleted.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction in those courts.

16. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notice. Your continued use of Bromwell after changes take effect constitutes your acceptance of the revised Terms.
